Representative Real Estate Transactional Matters

Our transactional work routinely includes handling the environmental aspects of property developments in both urban and rural areas relating to soil and water contamination, vapor intrusion, wetlands, endangered species, methane, power lines, and so on. We work as team members with inside and outside counsel and client development and construction personnel. We regularly interview, select and oversee the work of specialized environmental consultants, brokers and contractors and negotiate workable solutions with environmental agencies to resolve issues so that development can proceed on-time and on-budget, without being derailed by environmental complexities.

Electronics Manufacturing Site to $300 million Hospital, San Carlos, CA: Represented buyer of operating manufacturing site for cleanup and redevelopment of site as major new hospital. Formed LLCs, negotiated purchase, financing, environmental agency oversight, finite risk environmental insurance package and related agreements with Seller and previous site owner/operators.

130 Acre Landfill site as $400 million Business Park, Brisbane and South San Francisco, CA: Represented developer in environmental issues relating to purchase, financing, acquiring environmental insurance, environmental agency oversight, construction, sale and leasing of parcels and finished buildings, for commercial redevelopment project of former Sierra Point landfill located in San Francisco Bay Area. Formed Environmental Management Association to handle ongoing agency long term compliance obligations.

Maher Parcels, San Francisco, CA: Represented developers in purchase and financing due diligence on San Francisco Bay fill land. Negotiated cleanup plans and agency closure and covenants not to sue for redevelopment of properties to high-rise condominiums.

Manufacturing Plant, El Cajon, CA: Represented Seller of operating defense plant to international conglomerate, including negotiation of agency covenant not to sue and consent order.

Oil Field Site to $300 Million Upscale Housing Development, Santa Barbara, CA: Represented Consultant in purchase, cleanup contract and insurance negotiations in guaranteed fixed price risk transfer cleanup program.

Oil Field to Port Facility, Long Beach, CA: Represented Port of Long Beach in environmental issues relating to $400 million acquisition of 700 acre oil field from Union Pacific Railroad. Negotiated environmental aspects of purchase agreement, cleanup funding agreements, insurance coverage and agency oversight.

Union Station to $200 million High Rise Office Towers, Seattle, WA: Represented developer in redevelopment of abandoned train station in Seattle handling environmental aspects of purchase due diligence, agency sign offs, environmental insurance, construction financing, leasing, disclosures, and sale.

State Superfund Site to $120 million Office Building Complex, St. Paul, MN: Represented developer in environmental aspects of purchase, construction, insurance and agency oversight, cleanup and agency closure for state superfund site adjacent to Mississippi River.

Steel Products Warehouse to $80 million Apartments, Emeryville, CA: Represented developer in purchase and redevelopment of steel products warehouse site as 300 unit apartment complex. Handled environmental issues related to asbestos and lead paint abatement, building demolition, underground storage tank cleanups and closure, government covenant not to sue, risk management plans, closure reports, operation and maintenance plans and final agency no further action letters.

Federal Superfund Site to Retail Center, Sacramento, CA: Represented developer in due diligence and purchase, financing, and USEPA agency negotiations of Sacramento, California area ranked NPL site for retail redevelopment.

Television Manufacturing Plant to $80 million Business Park, Melrose Park, IL: Represented developer in purchase, due diligence, environmental insurance, financing, agency and tenant negotiations for demolition and redevelopment of Chicago, Illinois area defunct TV picture tube manufacturing plant. Obtained first private-sector Covenant Not to Sue from Illinois Environmental Protection Agency.

Steel Mill to Big Box Center, Emeryville, CA: Represented developer in due diligence for purchase and redevelopment of 100 year old steel mill for major new big box retail site. Negotiated government covenant not to sue.

Newspaper Printing Plant to $100M High Rise Office Tower, San Jose, CA: Represented developer in purchase, due diligence, environmental insurance, financing, agency closures and tenant negotiations for demolition and redevelopment of defunct printing plant, including UST closures.

Electronics Manufacturing Plant, to mixed use (retail, apartment and condominium), Irvine, CA: Represented developer in purchase, due diligence, environmental insurance, financing, agency covenants not to sue, and tenant negotiations for redevelopment of defunct plant to multi-family residential, office, retail mixed use development.

Dairy Sites to Industrial, Chino, CA: Represented developer in purchase environmental due diligence, agency oversight, development of county methane testing and mitigation protocols, financing and disclosures to buyers.

Camp Parks Army Base to Multiple Office Mid-Rises, Dublin, CA: Represented developer in purchase due diligence, soil cleanup, environmental insurance, financing, agency closure of USTs, spills, development and sale of several office buildings.

Water Heater Manufacturing Plant to Twin Office Mid-Rise, Westlake, Village, CA: Represented developer in purchase due diligence, soil cleanup, environmental insurance, financing, agency closure of USTs, clarifier and spills, development and sale of twin office buildings.

Manufacturing Plant, San Diego, CA: Negotiated cleanup cost sharing agreement between two international Fortune 500 companies; drafted and negotiated sale and related agreements for property resale and coordinated agency oversight.

Oil Field Site to Upscale Housing Development, Orange County CA: Represented developer in purchase and finance negotiations and due diligence of oil field for luxury housing redevelopment.

Defense Plant for Upscale Housing, Fullerton, CA: Represented developer in purchase and finance negotiations and due diligence of RCRA facility for luxury housing redevelopment. Negotiated agency covenant not to sue.

Defense Plant to Business Park, Santa Clarita, CA: Represented developer in environmental aspects of purchase and financing negotiation in redevelopment of former Lockheed facility.
